2. Service

A These Terms of Service apply to all users of the Services, including users who contribute content. “Content” refers to text, software, scripts, graphics, photographs, sounds, music, videos, audiovisual combinations, interactive features, and any other materials viewable or accessible through the Services. The Services include all UMiTouch applications, such as iSharing, and other affiliated platforms.

B The Services may contain links to third-party websites or resources not owned or controlled by UMiTouch. UMiTouch does not control and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. Furthermore, UMiTouch does not endorse and cannot edit or monitor the content of any third-party site. By using the Services, you expressly release UMiTouch from any and all liability arising from your use of any third-party site.

C When you leave the UMiTouch Services, we encourage you to be aware that you are leaving our platform and to review the terms and privacy policies of any external sites you choose to visit.

3. iSharing

A The iSharing service is designed to support charitable transparency and facilitate the connection between donors and verified non-profit organizations. When using iSharing, you may be asked to provide location information. This allows the system to recommend the nearest eligible charity or welfare organization to improve service relevance and user experience.

B UMiTouch may collect and process your device’s geolocation data solely for the purpose of enhancing service accuracy and accessibility. All personal data involved in the donation tracking process is anonymized and protected in accordance with our Privacy Policy.

C By using iSharing, you acknowledge and agree that UMiTouch may collect limited, anonymized data to fulfill the functionality of the platform and improve service delivery, while adhering to strict standards of user data protection and ethical use.

5. General Use of the Service: Permissions and Restrictions

UMiTouch hereby grants you permission to access and use the Services in accordance with these Terms of Service, provided that you agree to the following conditions:

A Without prior written authorization from UMiTouch, you may not reproduce, distribute, or publicly display any part of the Services or its Content on any other media or platform, unless such functionality is expressly provided through the Service itself.

B You agree not to modify or alter any part of the Services.

C You agree to access Content solely through the Service’s native playback interface or other methods expressly authorized by UMiTouch, and not through any other technology or means.

D Without UMiTouch’s prior written consent, you agree not to use the Content for any of the following commercial purposes:
■ Selling access to the Services or linked Content;
■ Selling advertisements, sponsorships, or promotions in connection with the Services or Content;
■ Hosting blogs or websites that feature Service Content and derive advertising revenue unless the page also contains other material not sourced from UMiTouch which justifies such monetization.

E Prohibited commercial use does not include:
■ Uploading original content (such as images or materials) to UMiTouch platforms, or managing original iMage channels for the promotion of your personal business or artistic endeavors;
■ Any commercial use expressly permitted in writing by UMiTouch.

F If you embed UMiTouch services on your website, you may not alter, hide, or augment any component of the embedded player, including links back to the UMiTouch platform.

G You agree not to use or launch any automated system, including but not limited to robots, spiders, or offline readers, that accesses the Service in a manner that sends more requests to the UMiTouch servers than a human can reasonably produce using a standard web browser in the same period. Notwithstanding the foregoing, UMiTouch grants public search engine operators permission to use spiders to copy materials from the Service for the sole purpose of creating publicly available search indexes of the materials (excluding caches or archives). UMiTouch reserves the right to revoke these exceptions either generally or in specific cases.
You also agree not to collect any personally identifiable information from the Service, including account names, and not to use the Service's communication features (e.g., comments, email) for any commercial solicitation. You agree not to solicit any users for commercial purposes regarding their Content.

H You agree to comply with all applicable local, national, and international laws and regulations while using the Services.

I UMiTouch reserves the right to suspend, discontinue, or modify any aspect of the Service at any time, without prior notice or liability.

6. Use of Content

In addition to the general restrictions set forth above, the following restrictions and conditions apply specifically to your use of Content within the Services:

A All Content, including trademarks, service marks, and logos contained in the Services, are either owned by or licensed to UMiTouch, and are subject to copyright and other intellectual property rights under applicable law.

B Content is provided "as is" and may only be accessed for personal, non-commercial reference, in accordance with the functionalities of the Service and the permissions granted under these Terms. Unless UMiTouch provides an explicit download link or similar functionality, you may not download, copy, reproduce, distribute, transmit, publish, adapt, license, sell, or otherwise exploit any Content for any purpose without prior written authorization from UMiTouch or the respective Content owner. All rights not expressly granted are reserved.

C You agree not to circumvent, disable, or otherwise interfere with any security-related features of the Service, including those that prevent or restrict copying of Content or enforce limitations on the use of the Service or its Content.

D You understand that by using the Services, you may be exposed to Content that may be inaccurate, offensive, indecent, or objectionable. You acknowledge and agree to waive, and do hereby waive, any legal or equitable rights or remedies you may have against UMiTouch with respect to such Content. You agree to indemnify, defend, and hold harmless UMiTouch, its affiliates, licensors, licensees, officers, and employees to the fullest extent permitted by law from and against all claims arising out of your use of the Services.

7. Your Content and Conduct

A As a registered UMiTouch account holder, you may submit content to the Services, including but not limited to media files and user comments. You acknowledge that UMiTouch does not guarantee the confidentiality of any content you submit.

B You are solely responsible for your own content and the consequences of submitting and publishing it through the Services. You represent and warrant that you own or have obtained all necessary licenses, rights, consents, and permissions to publish the content you submit, and to authorize UMiTouch to use the content in the manner contemplated by these Terms of Service. This includes, but is not limited to, any and all patent, trademark, trade secret, copyright, or other proprietary rights in and to such content.

C For clarity, you retain ownership of any content you submit. However, by submitting content to UMiTouch, you hereby grant UMiTouch a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, publish, adapt, transmit, and perform such content in connection with the Services and UMiTouch’s (and its successors’ and affiliates’) business, including for the purpose of promoting and redistributing part or all of the Services in any media formats and through any media channels.

You also hereby grant each user of the Services a non-exclusive license to access your content through the Services and to use, reproduce, distribute, display, and perform such content as permitted through the functionality of the Services and under these Terms of Service.

The license granted by you with respect to submitted media content (such as videos, photos, and music) shall terminate within a commercially reasonable time after you remove or delete such content from the Services. You understand and agree, however, that UMiTouch may retain server copies of removed or deleted content but shall not display, distribute, or otherwise perform it.

The license granted by you for user comments shall be perpetual and irrevocable.

D You further agree that the content you submit to the Services shall not contain third-party copyrighted material or proprietary information unless you have obtained proper authorization or hold the rights to publish and license such material to UMiTouch.

E You further agree not to submit any content that violates the UMiTouch Community Guidelines, or any applicable local, national, or international laws and regulations.

F UMiTouch does not endorse any content submitted by users or licensors, nor any opinions, advice, or recommendations expressed therein. UMiTouch expressly disclaims all liability in connection with user-submitted content. UMiTouch does not permit copyright or intellectual property infringement on the Services, and will remove all content upon receiving proper notification of such infringement.
UMiTouch reserves the right to remove any content without prior notice for any reason at its sole discretion.

8. Account Termination Policy

A UMiTouch will terminate a user’s access to the Services if, under appropriate circumstances, the user is determined to be a repeat infringer of intellectual property rights.

B UMiTouch reserves the right, at its sole discretion, to determine whether content violates these Terms of Service for reasons beyond copyright infringement, including but not limited to pornography, obscenity, violence, or other offensive material. UMiTouch may remove such content and terminate the corresponding user account at any time without prior notice.

10. Disclaimer

You acknowledge and agree that your use of the Services is at your sole risk. To the fullest extent permitted by applicable law, UMiTouch, its officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the Services and your use thereof. UMiTouch makes no representations or warranties with respect to the accuracy, reliability, availability, or completeness of the content provided through the Services or linked resources, and assumes no liability for:
i. Any errors or inaccuracies in content;
ii. Personal injury or property damage of any nature resulting from your access to or use of the Services;
iii. Unauthorized access to or use of our secure servers and/or any personal or financial information stored therein;
iv. Interruption or cessation of transmission to or from the Services;
v. Bugs, viruses, Trojan horses, or similar malicious software that may be transmitted through the Services by any third party;
vi. Any errors or omissions in any content, or for any loss or damage incurred as a result of the use of any content transmitted, posted, or otherwise made available through the Services.

UMiTouch does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Services, any hyperlinked website, or any banner or other advertising mechanism. UMiTouch is not and will not be a party to any transaction between you and third-party providers of products or services. As with any purchase of goods or services, whether via the Internet or in any other medium, you are solely responsible for exercising due diligence and judgment.

11. Limitation of Liability

To the fullest extent permitted by applicable law, UMiTouch, its officers, directors, employees, and agents shall not be liable to you under any legal theory (including contract, tort, negligence, strict liability, or otherwise), even if advised of the possibility of such damages, for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including but not limited to:
i. Errors or inaccuracies in content;
ii. Personal injury or property damage of any kind resulting from your access to or use of the Services;
iii. Unauthorized access to or use of our secure servers and/or any personal or financial information stored therein;
iv. Interruption or discontinuation of transmission via the Services;
v. Bugs, viruses, Trojan horses, or similar malicious code transmitted by third parties via the Services;
vi. Any errors or omissions in any content, or any loss or damage incurred as a result of using any content made available via the Services, whether by transmission, download, publication, or otherwise.

In certain jurisdictions, some warranties, disclaimers, or limitations of liability may not be legally excluded. If this is the case under the laws of your jurisdiction, UMiTouch’s liability will be limited to the maximum extent permitted by law, and in no case shall exceed either:
a) the amount you have paid for the Services in the past twelve months, or
b) the cost of re-performing the Services, whichever is lower.

You expressly acknowledge that UMiTouch is not liable for any defamatory, offensive, or illegal conduct of any third party and that the entire risk of harm or damage from such conduct rests solely with you.
The Services are controlled and operated from UMiTouch’s facilities in the United States. UMiTouch makes no representations that the Services are appropriate or available for use in other locations. If you access or use the Services from other jurisdictions, you do so voluntarily and are responsible for compliance with local laws.

12. Compensation

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless UMiTouch, its parent company, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to reasonable attorneys’ fees) resulting from:
i. Your use of or access to the Services;
ii. Your violation of any term of these Terms of Service;
iii. Your infringement of any third-party rights, including but not limited to copyright,
proprietary, or privacy rights;
iv. Any claim that your content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Services.

13. Fees and Payment

■ Some services may require payment of fees; the specific amounts and terms are as described on the website.
■ All payments are non-refundable, unless otherwise required by law or separately agreed by us.

14. Ability to Accept Terms of Service

You affirm that you are either:
■ at least 18 years of age;
■ a legally autonomous minor; or
■ have obtained the consent of a parent or legal guardian,
and that you are fully competent to enter into and comply with the terms, conditions, obligations, representations, and warranties set forth in these Terms of Service.

In any case, you affirm that you are at least 13 years of age, as the Services are not intended for children under the age of 13. If you are under 13, do not use this Service. There are many other websites that are more appropriate for you; please consult with your parents or guardians to determine which services are suitable for you.

We provide these Terms of Service alongside the Services to ensure transparency. You affirm that you have been given a reasonable opportunity to review and agree to these Terms.

15. Assignment

You may not assign or transfer your rights or obligations under these Terms of Service without prior written consent from UMiTouch.
UMiTouch may assign or transfer these Terms, in whole or in part, without restriction.

16. General Terms

i. You agree that the Services shall be deemed solely based in Taiwan.
ii. You further agree that the Services shall be deemed a passive website that does not give rise to personal jurisdiction over UMiTouch in jurisdictions other than Taiwan, whether specific or general.

These Terms of Service shall be governed by and construed in accordance with the laws of Taiwan, without regard to its conflict of law principles. Any disputes arising from or related to these Services shall be subject to the exclusive jurisdiction of the courts located in Taiwan.
These Terms of Service, along with the Privacy Policy and any other legal notices published by UMiTouch, constitute the entire agreement between you and UMiTouch regarding the Services.
If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such term or any other term, and UMiTouch’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
You and UMiTouch agree that any cause of action related to or arising out of your use of the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
